General Terms and Conditions

Venture X Terms and Conditions: House Rules - applicable to all Customers

1. Access to the Centre and the use the Communal Areas is available only during the Access Hours and is subject to compliance with such regulations as Venture X may publish from time to time.

2. A Customer must, while in and about the Estate, act in a proper and reasonable manner and shall not do any act or thing that may cause Venture X to be in breach of its obligations under the lease under which Venture X holds the Centre.

3. A Customer must not:

• 3.1. use any part of the Centre for any illegal or immoral purpose or as sleeping quarters or for cooking food (other than heating pre-cooked food in the kitchen at the Centre);

• 3.2. bring any animal, bird, fish or reptile into the Centre;

• 3.3. must not use the Centre as the address for service without the written consent of Venture X.

4. In using the Facilities, a Customer must not cause any damage to the Centre or to the fittings and contents at the Centre and must not cause any annoyance, disruption, disturbance or inconvenience to Venture X, its staff or any other users of the Centre or the occupiers of any other part of the Estate.

5. If a Customer shall cause any damage to the Centre and to the fixtures, fittings, furnishings and decorations at the Centre the Customer shall pay to Venture X on demand the cost to be incurred by Venture X of making good such damage or, if such damage cannot be made good, the cost of replacement of the relevant item.

6. In using the wi-fi and internet services at the Centre a customer shall:

• 6.1. not use such services for any illegal, unlawful or immoral purpose;

• 6.2. comply with the fair usage policy in respect of such services from time to time made by Venture X.

7. The Customer shall ensure that all Affiliate Members, Associates and any person visiting the Customer or for whom the Customer is responsible shall comply with the obligations on behalf of the Customer as set out in these Terms and Conditions.

8. Venture X may at any time exclude from the Centre any Customer who in the opinion of Venture X is disruptive, abusive or otherwise detrimental to the reasonable use and enjoyment of the Centre by other users.

9. Except as specifically permitted under the Agreement a Customer must not leave any personal property at the Centre after the Customer has left the Centre.

10. Booking fees for meeting rooms and for Day Passes are payable in advance at the time the booking is made and are non-refundable in the event of cancellation by the Customer unless notice of cancellation is received by Venture X at least 24 hours before the time of the reservation.

11. Any additional services requested by the Member and any orders for confectionary, snacks, food, drinks and other refreshments are to be paid for at the time of placing the order.

12. All payments due under the Agreement are exclusive of VAT and the Customer shall pay the VAT on any sum due to Venture X at the same time as making payment of the net sum.

13. Venture X retains data provided by or on behalf of the Customer in a database (which may be maintained by Venture X, by an associated company of Venture X or by a third-party contractor) and:

• 13.1. by using the Facilities, the Customer accepts and agrees to such data retention and to the privacy policy of Venture X;

• 13.2. by entering into an Agreement, the Member accepts and agrees to such data retention and privacy policy on behalf of itself and any Affiliate Member and any Associate and confirms that it has the authority of each Affiliate Member and Associate so to do.

14. Venture X shall have no liability:

• 14.1. for any loss or damage caused to the personal property or equipment of the Customer in and about the Centre;

• 14.2. any losses, expenses or damage suffered by the Customer arising from the use of the Wi-Fi and internet service or other telecommunications services at the Centre;

• 14.3. for any failure to supply any services by reason of circumstances outside the control of Venture X;

• 14.4. to the extent permitted at law for any personal injury (including death) suffered by the Customer in or about the Centre other than as may arise because of the negligence of Venture X or its staff.

15. Where the Member or Contact comprises two or more individuals or bodies the obligations of such persons or bodies under an Agreement shall be joint and several.

16. No person other that the parties named in the Agreement shall have any rights to enforce the provisions of these Terms and Conditions and no rights shall be enforceable under the Contracts (Rights of Third Parties) Act 1999.

17. English Law applies to these Terms and Conditions and to the Agreement and the Courts of England and Wales shall have exclusive jurisdiction in respect of any dispute or claim arising out of or in connection with the Agreement or these Terms and Conditions.

18. In these Terms and Conditions, the following expressions shall have the meanings specified:

• 18.1. Access Hours means the hours of 08:30 to 17:30 on a Working Day or such longer hours and other days as may be specified in the Membership Plan.

• 18.2. Affiliate Member means any employee of the Member or other person connected with the Member that the Member may, with the consent of Venture X, authorise to use a Private Office, a Dedicated Desk and/or a Hot Desk.

• 18.3. Agreement means (a) a Membership Plan or (b) an agreement between Venture X and a Customer for a Day Pass or for the rental of a meeting room otherwise than under a Membership Plan and:

• 18.3.1. in the case of an Affiliate Member reference to an Agreement is a reference to the Membership Plan held by the Member by whom the Affiliate Member is authorised;

• 18.3.2. for the avoidance of doubt the expression “Agreement” includes the Booking Form.

• 18.4. Associate means any company or other body associated with the Member.

• 18.5. Booking Form means the booking form completed by the Member using the Venture X app or the Venture X website.

• 18.6. Centre means the premises of Venture X at Fifth Floor, Building 7, 566 Chiswick High Road, London W4 5YG.

• 18.7. Communal Areas means the reception area, passageways, lounge area, lavatories, kitchen and other areas within the Centre as designated from time to time by Venture X for communal use.

• 18.8. Community Member membership means a Membership Plan permitting the Member five Day Passes a month together with meeting rooms to book on a pay-as-you-use basis.

• 18.9. Contact means a person holding a Day Pass to use the Centre or a person renting a meeting room at the Centre or any other person (other than a Member or an Affiliate Member) using the Centre.

• 18.10. Customer means any of the following: a visitor to the Centre; a Member; a Contact.

• 18.11. Day Pass means the use of any available Hot Desk at a Centre during the Access Hours on a specified day or (in the case Community Membership and Virtual Office Pro membership) a number of days in a specified period.

• 18.12. Dedicated Desk means an exclusive desk at the Centre as referred to in the Membership Plan or such alternative desk space at the Centre as Venture X shall from time to time designate together with a separate lockable storage unit for each desk together with meeting rooms to book on a pay-as-you-use basis.

• 18.13. Estate means the building and development of which the Centre forms part at Chiswick Park, Chiswick High Road, London W4.

• 18.14. Facilities means the accommodation and services provided to Customers under Membership Plans or any other agreement between Venture X and a Customer and the common facilities at the Centre provided for the use of Customers.

• 18.15. Hot Desk means a desk within the Centre designated by Venture X as available for use by all users of the Centre on a first-come-first-served basis together with meeting rooms to book on a pay-as-you-use basis.

• 18.16. Member means the person or body who contracts with Venture X in a Membership Plan.

• 18.17. Membership Plan means the membership plan agreement between Venture X and the Member in respect of: Community Member membership; Hot Desk membership; Dedicated Desk membership; Private Office membership; Virtual Office membership; or Virtual Office Pro membership.

• 18.18. Private Office means an exclusive room or suite of rooms at the Centre as referred to in the Membership Plan or such alternative accommodation at the Centre as Venture X shall from time to time designate.

• 18.19. VAT means Value Added Tax at the rate current at the relevant date and any figure given VAT in the Agreement is given at the rate of 20% (being the current rate applicable) and shall be subject to variation to reflect changes in the rate of VAT during the currency of the Agreement.

• 18.20. Venture X means FW Chiswick Park Limited CRN 12023881 registered office Venture X, Fifth Floor, Building 7, 566 Chiswick High Road, London W4 5YG.

• 18.21. Virtual Office membership means a Membership Plan which gives the Member:

• 18.21.1. mail receipt and forwarding services;

• 18.21.2. meeting rooms to book on a pay-as-you-use basis;

• 18.21.3. the ability to use the address of the Centre for business and marketing purposes of the Member (but not for the registered office of a company without the specific agreement of Venture X).

• 18.22. Virtual Office Pro membership means a Membership Plan which gives the Member:

• 18.22.1. a dedicated local telephone phone number, call forwarding and a Softphone mobile telephone application for receipt of calls to a mobile telephone;

• 18.22.2. two Day Passes a month; in addition to the benefits of Virtual Office membership.

• 18.23. Working Day means any day other than Saturday, Sunday or a bank or public holiday.
